GRANT. For valuable consideration, receipt of which I hereby acknowledge, I irrevocably grant to Meals on Wheels America and The Home Depot Foundation ("THDF"), and their respective officers, employees, agents, representatives, assigns, licensees and successors (collectively, the "Meals on Wheels America/THDF Grantees"), the right and permission to videotape, record and photograph my image, likeness, depiction, voice, sound effects, actions, performances of any kind and/or property including my name (and/or that of my minor children if applicable) fully acknowledging that Meals on Wheels is the sole owner of the results and proceeds of the same, and further, hereby grant the Meals on Wheels America/THDF Grantees the unlimited, sub-licensable and royalty-free right to record, photograph, depict, portray, publish, exploit and/or use directly or through a third party such videotapes and photographs of my (and/or my minor children's) image, likeness, depiction, voice, sound effects, actions, performances of any kind, property and/or name in all forms and media including composite or modified representations, for any lawful purposes, including but not limited to any advertising, trade, promotional or commercial purpose, in all languages, formats and media, whether now known or hereafter devised, in any manner, exclusively, throughout the universe, and in perpetuity. I hereby grant to the Meals on Wheels America and THDF Grantees permission to edit, crop and retouch such videotapes and photographs and I waive the right to inspect or approve versions of such videotapes and photographs and my image used for publication or any written copy that may be used in connection with the videotapes and photographs and images. Meals on Wheels America or THDF Grantees may use such photographs and videotapes with or without associating my name (or my minor children's name if applicable) as a credit in connection with the image. I further waive, and release and discharge the Meals on Wheels America/THDF Grantees from, any claim for compensation of any kind for the use or publication of videotapes, recordings or photographs of me now and in the future (and/or those of my minor children, if applicable) by the Meals on Wheels America/THDF Grantees.
RELEASE. I hereby fully and forever discharge and release the Meals on Wheels America/THDF Grantees from any claim for damages of any kind (including but not limited to invasion of privacy, defamation, false light, infringement of moral rights, rights of publicity or copyright, or misappropriation of name, likeness or image) arising out of the possession, distribution, use or publication of videotapes, photographs or other images of me (and/or those of my minor children if applicable), and covenant not to sue or otherwise initiate legal proceedings on my own behalf or on behalf of my minor children against the Meals on Wheels America/THDF Grantees for such use or publication. All grants of permission and consents, and all covenants, agreements and understandings contained herein are irrevocable.
ACKNOWLEDGEMENT. None of the Meals on Wheels America/THDF Grantees is obligated to utilize any of the rights granted in this Agreement. I hereby warrant that I am a resident of the State of Texas and am of legal age in this state (18 years and older), and have the right to contract in my own name. I have read the above authorization, release and agreement, understand its terms and provisions, and have signed it knowingly and voluntarily on behalf of myself and/or my minor children (if applicable). This Agreement expresses the complete understanding of the parties, and shall be binding upon me, my heirs, legal representatives and assigns.
